Why Deutsche Bahn Is Selling DB Cargo UK Now

UK: Deutsche Bahn has launched the DB Cargo UK sale, putting one of Britain’s largest rail freight operators on the market despite sharply improved financial results.

CEO Andrea Rossi informed the company’s 2,155 employees on Aug. 17 that DB Cargo AG was shifting its strategic focus towards core Central European operations undergoing restructuring after the European Commission’s state-aid ruling.
The UK board has appointed legal and financial advisers to find an owner with the resources, investment capacity and strategic focus needed to develop the business, according to RailBusinessDaily. Sky News identified Interpath as an adviser and reported that discussions with prospective bidders were already underway.

Why smaller losses did not prevent the DB Cargo UK sale
DB Cargo UK’s latest filed accounts, covering the year to Dec. 31, 2024, show turnover rising from £268.7 million to £274.4 million. Its loss for the year fell sharply from £67.5 million to £12.3 million.
The figures demonstrate a major improvement, but the company remains loss-making. Rossi also said operational and financial gains had been offset by external pressures that increased an already challenging cost base, weakened important markets and reduced volumes and revenue.
The wider strategic pressure comes from DB Cargo’s restructuring after the European Commission approved €1.9 billion in German state aid in 2024. The approval was conditional on implementing a plan intended to restore long-term viability by the end of 2026, including agreed divestitures of activities and assets. The decision does not identify DB Cargo UK as a mandatory divestment.
The restructuring extends far beyond Britain
DB Cargo plans to eliminate around 6,200 positions in Germany by 2030, representing almost half of its domestic workforce. The scale of the cuts shows that the UK sale forms part of a much larger attempt to reshape the European freight business.
DB Cargo has also transferred part of Spanish subsidiary Transfesa’s domestic rail and logistics operations to Boluda Shipping. It retained the automotive business and international freight services connecting the Iberian Peninsula with the rest of Europe, according to DB Cargo.
Separately, Deutsche Bahn’s broader programme of international divestments has included the sales of logistics group DB Schenker and passenger transport operator Arriva.
What a new owner would inherit
A buyer would take control of a business employing 2,155 people, operating more than 200 locomotives and providing freight, engineering and charter services across Britain. DB Cargo UK also runs cross-Channel freight services, holds an extensive property portfolio and supports the Royal Train.
The immediate question is who will bid. Sky News says discussions have already started, although DB Cargo UK describes the formal sale process as being at an early stage. No prospective buyer has yet been publicly identified.
A change of ownership could influence fleet investment, cross-Channel operations and the company’s ability to compete for new freight contracts. For now, DB Cargo UK says services will continue as normal while the search for a buyer proceeds.
