USA: Six major rail-customer organizations aren’t asking regulators to scrutinize the proposed Union Pacific–Norfolk Southern merger more closely — they’re asking the Surface Transportation Board to kill it now, before a full review even begins.

The filings, made in the past week by groups including the Alliance for Chemical Distribution, American Chemistry Council and the National Grain and Feed Association, argue the $85 billion merger application fails to meet the STB’s threshold requirements for proceeding at all, according to a BNSF customer letter dated Aug. 14. A separate filing from a group of Republican state attorneys general makes a similar argument.

“Cannot make a prima facie showing”

The attorneys general’s filing states plainly that “a merger that creates a 50%+ market share railroad cannot make a prima facie showing that it enhances competition without providing much more,” according to BNSF’s letter, which cited the AGs’ Aug. 11 submission. BNSF’s own filing focuses on the same threshold question: whether UP and NS’s proposed competitive commitments protect existing options or create new ones for shippers, rather than simply preserving the status quo. BNSF Executive Vice President Tom Williams wrote that the railway believes the commitments do neither.

What happens next is still undecided

The STB has not yet ruled on the requests for summary denial. The board could still choose to conduct a full public-interest proceeding, giving stakeholders further opportunity to comment on the deal’s merits — meaning this round of filings, however pointed, does not by itself end the review process. The announcement does not specify a timeline for the STB’s decision on whether to summarily reject the application or move to a full hearing.
