Frauscher is an Austria-based company founded in 1987 and today employs more than 700 people in 15 countries. It focuses on train detection and axle counting systems, along with wayside object control solutions that supply rail operators with the information they need to increase the safety, efficiency and capacity of their networks. Frauscher technologies are installed in more than 100 countries and are engineered to work under a wide variety of technical, mechanical and environmental conditions.

Its strong footprint in Europe and India makes Frauscher particularly important for Wabtec’s international expansion plans. Financial details and projected 2025 revenue

Under the terms of the deal, Wabtec acquired Frauscher for an enterprise value of €675 million in cash, making the Wabtec Frauscher acquisition a major investment in the railway signaling segment, according to coverage by Railway Gazette International. Wabtec expects the transaction to deliver immediate value for shareholders through an accretive growth profile, accretive Adjusted EBIT margins and slightly accretive Adjusted EPS in the first year of ownership. Over time, the company also anticipates an accretive return on invested capital (ROIC).

The purchase price corresponds to an estimated multiple of 12.4x projected 2025 EBITDA, adjusted for projected run-rate cost synergies that Wabtec aims to achieve within a three-year period. Frauscher is expected to generate approximately €145 million in revenue in 2025, supporting the financial rationale for the €675 million enterprise value acquisition and its contribution to Wabtec’s long-term growth strategy.
